Terms of Service

IMPORTANT: By accessing or using the Tradevia website or application in any way, you agree to be bound by these Terms of Service and all policies referenced herein (including our Privacy Policy). If you do not agree, you must stop using the Service immediately.

These Terms govern your access to and use of the Tradevia website, applications, and related services (collectively, the “Service”) operated by Tradevia (“Tradevia,” “we,” “us,” or “our”). Replace bracketed placeholders before publishing.

1. Nature of the Service, Disclosures, and No Advice

1.1 Educational and Analytical Tool Only

Tradevia is a journaling and analytics platform designed to help users record trades and analyze historical performance. Tradevia is not a broker-dealer, investment advisor, commodity trading advisor, or financial planner, and does not provide investment, trading, legal, tax, accounting, or other professional advice.

You understand and agree that:

  • Tradevia does not recommend or endorse any security, strategy, broker, exchange, or instrument.
  • Any charts, statistics, tags, notes, analytics, or outputs are provided for informational and educational purposes only.

1.2 Risk Disclosure

Trading and investing in financial instruments (including futures, equities, options, forex, and crypto) involves substantial risk and may not be suitable for all individuals. You acknowledge that:

  • You may lose all or more than your initial investment.
  • Past performance and analytics displayed in Tradevia do not guarantee future results.
  • Market conditions, liquidity, slippage, commissions, spreads, leverage, execution, and human factors can materially affect outcomes.
  • You are solely responsible for all trading decisions, orders, and outcomes.

1.3 No Reliance

You agree that you will not rely on the Service as the sole basis for any investment decision. You are responsible for verifying all information independently and consulting qualified professionals as needed.

1.4 Testimonials and Hypothetical Performance (If Applicable)

If the Service displays testimonials, case studies, sample metrics, or example performance:

  • Testimonials may not represent typical user experiences and do not guarantee future results.
  • Hypothetical, simulated, or backtested performance has inherent limitations and may differ materially from actual results.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old (or the age of majority where you live) and capable of forming a binding contract to use the Service.

2.2 Registration and Accuracy

You agree to provide accurate, current, and complete information and to keep it updated. Failure to do so may result in suspension or termination.

2.3 Account Security

Authentication may be provided via third-party identity providers (e.g., Google, X/Twitter) and/or Firebase. You are responsible for maintaining the confidentiality and security of your login methods and all activity under your account, whether authorized by you or not.

You must notify us promptly if you suspect unauthorized use.

3. Authorized Support Access

To provide support, diagnose issues, and maintain the Service, you acknowledge and agree that authorized administrators may temporarily access your account only to the extent reasonably necessary.

  • Support access is limited to legitimate troubleshooting, maintenance, and issue resolution.
  • Sessions may be authenticated, time-bound, logged, and auditable.
  • We do not request or access your third-party credentials.
  • Your ownership of your data remains unchanged.
  • We will not modify account settings or data except as necessary for support or at your request.

4. Subscriptions, Billing, Trials, Refunds

4.1 Plans

Tradevia may offer free and paid plans. Features, limits, and pricing are described on the Service and may change as described below.

4.2 Billing and Payment Authorization

Paid plans are billed in advance on a recurring basis (monthly/annual or as stated at purchase). Payments are processed by third-party payment processors (e.g., Stripe). By subscribing, you authorize Tradevia and its payment processors to charge your payment method for all applicable fees, taxes, and charges.

4.3 Cancellations

You may cancel at any time through the account settings (or other provided cancellation method). Cancellation stops future renewals; access may remain until the end of the then-current billing period unless otherwise stated.

4.4 No Refunds

All fees are non-refundable to the maximum extent permitted by law. We do not provide refunds or credits for partially used billing periods, unused features, downgrades, or unused time.

4.5 Failed Payments

If a payment fails, we may suspend or downgrade your access until payment is successfully processed. You remain responsible for all accrued charges.

4.6 Free Trials (If Offered)

If a free trial is offered, we may modify or terminate the trial offer at any time. Unless otherwise stated, free trials may convert into paid subscriptions automatically at the end of the trial period. You are responsible for canceling before trial end if you do not wish to be charged.

4.7 Fee Changes

We may change subscription fees. Any fee change will take effect at the start of the next billing cycle after we provide reasonable notice (for example via email or an in-app notice). Continued use after the effective date constitutes agreement to the new fees.

5. Acceptable Use and Prohibited Conduct

You agree not to (and not to attempt to):

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, trade secrets, or underlying ideas of the Service.
  • Copy, duplicate, sell, resell, rent, lease, or exploit the Service except as expressly permitted.
  • Circumvent plan limits, usage restrictions, or access controls, or share accounts to avoid fees.
  • Interfere with or disrupt the Service (including by introducing malware, scraping at harmful rates, or denial-of-service attempts).
  • Access systems or data you are not authorized to access.
  • Upload or transmit unlawful, harmful, infringing, defamatory, deceptive, or abusive content.
  • Use the Service to violate any law, regulation, exchange rule, or third-party rights.

We may investigate suspected violations and may suspend or terminate accounts at our discretion.

6. User Content, Data, and License

6.1 Your Content

The Service may allow you to input, upload, import, store, and display content such as trades, notes, images, tags, statistics, broker import files, and other materials (“User Content”). You retain ownership of your User Content.

6.2 License to Operate the Service

You grant Tradevia a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, reproduce, and create technical derivatives of your User Content solely to operate, maintain, secure, and improve the Service and provide features you request (including generating analytics, charts, and reports).

6.3 Your Responsibilities

You represent and warrant that:

  • You own or have the rights to submit your User Content.
  • Your User Content does not infringe third-party rights or violate law.
  • You will not upload misleading or unlawful content.

6.4 Sharing/Public Features (If Applicable)

If you choose to publish or share content publicly or with other users, you understand that others may view, copy, and redistribute that content depending on your settings. You are responsible for what you choose to share.

7. Third-Party Services, Brokers, Imports, and Data Accuracy

7.1 Third-Party Integrations

The Service may connect to, import from, or interpret data from third-party brokers, exchanges, or platforms. Tradevia is not affiliated with any broker (e.g., Tradovate) unless expressly stated.

7.2 No Guarantee of Compatibility or Accuracy

We do not guarantee:

  • The availability, accuracy, completeness, or timeliness of third-party data
  • The continued compatibility of APIs, imports, file formats, parsers, or integrations
  • That imported data will be error-free or correctly categorized

You are responsible for reviewing and validating your data and analytics.

8. Intellectual Property

The Service, including all software, designs, branding, UI/UX, analytics features, templates, and underlying code, is owned by Tradevia and protected by intellectual property laws.

Except for the limited right to use the Service under these Terms, you receive no rights in Tradevia’s intellectual property. You may not use our trademarks, logos, or branding without written permission.

9. Copyright Policy

We respect intellectual property rights. If you believe content on the Service infringes your copyright, you may send a notice to info@tradevia.app including:

  • Identification of the copyrighted work
  • Identification/location of the allegedly infringing material
  • Your contact information
  • A statement of good-faith belief
  • A statement under penalty of perjury that your notice is accurate and you are authorized
  • Your physical or electronic signature

We may remove content and/or terminate repeat infringers.

10. Service Availability and Changes

10.1 Availability

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee uninterrupted access, uptime, error-free operation, or that defects will be corrected.

10.2 Changes and Discontinuation

We may modify, suspend, or discontinue any part of the Service at any time. You agree we are not liable for such changes. No refunds are owed due to feature changes or discontinuation.

11. Termination

We may suspend or terminate your account at any time (with or without notice) if we believe you violated these Terms, engaged in fraud/abuse, or harmed the Service, other users, or third parties.

Upon termination:

  • Your right to use the Service ends immediately.
  • We may restrict access to or delete User Content as permitted by law and our operational needs.
  • Sections intended to survive termination will survive (including IP, disclaimers, limitation of liability, indemnity, and dispute provisions).

12. Disclaimer of Warranties

To the maximum extent permitted by law, Tradevia disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

We do not warrant that:

  • The Service will be secure, uninterrupted, or error-free
  • The analytics, outputs, or reports will be accurate or reliable
  • Any defects will be corrected
  • The Service is free from viruses or harmful components

13. Limitation of Liability

To the maximum extent permitted by law, Tradevia and its owners, affiliates, directors, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of trading capital, loss of goodwill, or loss of data, arising out of or related to your use of the Service.

Liability cap (recommended): To the maximum extent permitted by law, Tradevia’s total liability for any claim will not exceed the greater of (a) the amount you paid to Tradevia in the 12 months prior to the event giving rise to the claim, or (b) $100.

Your sole remedy for dissatisfaction is to stop using the Service. Some jurisdictions do not allow certain limitations; in those cases, liability will be limited to the fullest extent permitted.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tradevia and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use or misuse of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or third-party rights

15. Changes to These Terms

We may update these Terms at any time. If changes are material, we will make reasonable efforts to provide notice (e.g., in-app notice or email). Continued use after changes become effective constitutes acceptance.

16. Governing Law and Venue

These Terms are governed by the laws of United Kingdom | United States, without regard to conflict-of-laws rules.

Any dispute arising from these Terms or the Service must be brought exclusively in the courts located in United Kingdom | United States, and you consent to jurisdiction and venue there.
